A&O Shearman advises on Mundys’ liability management relating to two series of notes

On October 28, 2025, Mundys S.p.A. announced a liability management transaction addressed to holders of the notes titled “€1,000,000,000 1.875 per cent. Notes” due July 13, 2027 (ISIN: XS1645722262) and “€1,000,000,000 1.875 per cent. Notes” due February 12, 2028 (ISIN: XS2301390089), issued by the company (formerly Atlantia S.p.A.).

These are two separate cash tender offers (the “Offers”) for a cash consideration up to an overall maximum amount equal to EUR500 million of aggregate nominal value for both series, and pursuant to the terms described in the related tender offer memorandum dated October 28, 2025.

The Offers were carried out as part of the proactive management of the company’s liabilities, and settlement took place on November 7, 2025.

In connection with the two transactions, A&O Shearman supported the dealer managers, Goldman Sachs International, SMBC Bank EU AG, and Société Générale.

The team was led by partner Cristiano Tommasi, assisted by counsel Sarah Capella, associate Marco Mazzurco, and trainee Antonio Iuliano.
