A&O Shearman advises on innovative financing for Vedanta

A&O Shearman has advised a consortium of international financial institutions acting as mandated lead arrangers and bookrunners on two concurrent facilities provided to Twin Star Holdings Ltd., a subsidiary of Vedanta Resources Limited. The facilities, secured against receivables from licensing of the Vedanta brand, comprise a USD2.25 billion term loan facility and a USD1bn bridge loan facility. 

Forming a critical part of Vedanta Resources Limited's broader financing strategy, the transaction demonstrates continued lender confidence in the group and reflects the increasing use of brand-linked security structures in large-scale financings, particularly in the natural resources sector.

By structuring parallel facilities with bespoke security and prepayment provisions, we were able to deliver a solution aligned with the client's strategic objectives.”

The A&O Shearman team was led by Singapore-based debt finance partner Gautam Narasimhan, supported by consultant David Wilson, associates Kathleen Tay, Nihal Sharma, and Aditya Vikram, with trainee support from Daniel-Paul Osahon. Additional legal advice to the arrangers was provided by Harneys Aristodemou Loizides Yiolitis LLC in Cyprus, BLC Robert & Associates in Mauritius for the term loan, and Madun Gujadhur Chambers LLP in Mauritius for the bridge loan.
