A&O Shearman in the EUR650 million full capital stack cash securitization of Fiditalia

The securitization involved the placement of all classes of notes on the market, except for the junior tranche subscribed by the originator. The senior and mezzanine notes were assigned ratings by DBRS and Fitch and were listed on the Luxembourg Stock Exchange. The securitization was structured in accordance with the "simple, transparent, and standardized" (STS) criteria set out in Regulation (EU) 2402/2017.

A&O Shearman advised Société Générale on all legal, regulatory, and tax aspects of the transaction with a team led by partner Pietro Bellone, supported by associates Chiara D'Andolfo and Aldo Brombin Tuzzato, and trainee Luca Marchesini. The tax aspects were handled by counsel Elia Ferdinando Clarizia. A group of professionals from the Milan and London offices also provided assistance on English law matters.
