A&O Shearman advised EQT on its acquisition of Seven Seas Water Group, a leading provider of sustainable water and wastewater solutions, from Morgan Stanley Infrastructure Partners. Seven Seas builds, owns, and operates water and wastewater treatment plants across the U.S., Caribbean, and Latin America, with over 220 plants currently under management.

EQT is a purpose-driven global investment organization with deep experience investing behind essential infrastructure and partnering with established platforms that deliver sustainable, mission-critical services aligned with global needs for resource efficiency.

With a focus on providing clean, affordable and accessible water and wastewater treatment solutions to communities facing water scarcity and aging infrastructure, Seven Seas is well-positioned to benefit from EQT’s global network and deep industry expertise to grow both the scope and scale of its Water-as-a-Service® integrated model.

“This deal really showcases A&O Shearman at its best, structuring and negotiating a large, complicated, multi-jurisdictional transaction in the infrastructure sector,” said Kent Rowey, A&O Shearman lead partner and global co-head of the firm’s energy, natural resources and infrastructure practice. “Our expertise in the infrastructure domain allowed our team to provide the highly specialized legal counsel needed for our long-term client, EQT, to further build out their impressive portfolio in the Americas.”

The A&O Shearman team also included New York-based partners Romain Dambre on M&A aspects, Dorina Yessios on financing arrangements, John Hibbard on tax, and Brian Jebb on compensation and employment. Support for the transaction was provided by energy and infrastructure counsel Peter Tolson and associates Domingo Rios Rivera, Sarah Douki, Gabrielle Scanlin, and Juan Santiago; M&A associate Jake Shaughnessy; and compensation and employment associate Hayde Faria.
