The SEC Merger Code 2015 contains information and consultation obligations towards the trade unions in the event of a proposed merger. In recent years, the Merger Code Disputes Committee has considered certain aspects of the SER Merger Code 2015. Arnold Keizer and Simone van der Plas provide some of these with additional information in a recently published article in Tijdschrift Recht en Arbeid (TRA 2024/23). The topics discussed are the foreign exception, the difference between a merger party and a company involved in the merger, obligations regarding public announcement (including in the case of price-sensitive transactions) and the conditionality of transaction documentation (for example via a signing protocol).
