Rivan is well experienced in advising banks as well as sponsors in financing transaction with substantial experience in restructuring.
He is qualified to practice Indonesian laws and has strong exposures in handling Indonesian court sanctioned restructuring (Penundaan Kewajiban Pembayaran Utang – PKPU) and bankruptcy. He also had a secondment spell at one of the largest Indonesian state-owned bank’s corporate banking group that gives him holistic understanding on banking business activities.

Representative matters

PT Perusahaan Pengelola Aset (PPA), as arranger, on the restructuring of NPF portfolio of Bank Muamalat Indonesia using asset swap scheme with sukuk issued by PPA. Restructuring Deal of the Year and Deal of the Year: Indonesia, IFN Awards 2021. 

Bank KB Bukopin, on the disposal of its NPL and risky credit (LAR) portfolio with a book value of IDR 4.13tn to an offshore SPV owned by Kookmin Bank utilising an asset swap structure. 

PT Perusahaan Pengelola Aset (PPA), on the proposed restructuring of NPL portfolios of two Indonesian financial institutions utilising an asset swap structure. 

Bank Permata on the disposal of the IDR1.1tn (USD85m) non-performing loan assets to a consortium of international financial institutions. 

A confidential client, on the purchase of a loan portfolio from an offshore SPV owned by Bank QNB Indonesia and from Bank BCA. PT Tiga Pilar Sejahtera, representing the largest creditor in the group restructuring of the company (PKPU). 

Sritex, representing creditor with exposures on bilateral, ISDA and syndication in the PKPU.

The trustee for the holders of NY law notes issued by DMDT in connection with the Indonesian restructuring proceedings (PKPU) relating to DMDT and its wider group. 

The bilateral lender, on the restructuring of an existing bilateral facility granted to PT Pan Brothers Tbk, an Indonesian textile manufacturer

A lender, on the consensual restructuring of its USD/IDR loans provided to PT Rekayasa Industri, a state-owned subsidiary of Pupuk Indonesia Group.

The represented creditors on the PKPU (court-sanctioned restructuring) of Dwinad Nusa Sejahtera, an Indonesia-based copper and gold mining company.

The lenders on an unsecured IDR 4.15tn Sustainability-Linked Financing provided to PT Semen Indonesia (Persero) Tbk.

The lenders on an unsecured IDR 901.43bn Sustainability-Linked Financing provided to PT Semen Baturaja Tbk, an affiliate of Semen Indonesia Group.

BNI, CIMB Niaga, Bank BTPN, Bank CTBC Indonesia, DBS Indonesia and Bank Permata on a financing to Solusi Bangun Indonesia. Initially, the funds were granted only by way of conventional loan but later the parties decided to include a portion of funds to be granted by way of sharia loan.

Bank Mandiri on a IDR 1.6tn financing (with Sustainability-Linked Loan option) to PT ABM Investama Tbk.

Bank Mandiri as MLAB on a IDR4.6tn financing to Paramount Group .

BNI and Bank Mandiri on a USD 750mn financing to PT Bukit Makmur Mandiri Utama (BUMA), a subsidiary of PT Delta Dunia Makmur Tbk (DOID).

ICBC on a USD 580mn financing to PT Detian Coking Indonesia.

Bank Mandiri and BNI as MLAB on a USD495m refinancing facility for PT Panca Amara Utama, a subsidiary of PT Surya Esa Perkasa Tbk.

The lenders on a USD300m project financing for Merdeka Copper & Gold (controlled by investment firm Saratoga) for the Tujuh Bukit Gold and Copper Project - a highly complex financing in a market where gold prices are very volatile.
