Louis has experience in commercial and corporate transactions including schemes of arrangement, asset sales, shareholder agreements and takeovers.
Louis also advises clients on general corporate governance and compliance and has worked on both domestic and cross-border project and asset financing transactions.


Representative matters

Advising a national petroleum and natural gas company on its proposed acquisition of a significant stake in an independent retail fuels business.

Fortescue Metals Group Limited on a USD1.4bn syndicated term loan facility and USD1bn revolving facility, secured syndicated facility agreements.

Fortescue Metals Group Limited on corporate governance matters.

Global Advanced Metals on its US229 million equity financing and related royalty and management agreements.

Horizon Minerals on the acquired disposal and farm-in of mining tenements, offtake and royalty agreements in relation to the proposed acquisition of Greenstone Resources Limited by way of two schemes of arrangement.

A group of financial institutions as lenders, on waivers and amendments to the existing AUD134m multi tranche project finance facilities provided to Kalium Lakes in relation to the Beyondie Sulphate of Potash Project. The facility includes export credit agency support from Euler Hermes.

OreCorp on the acquisition of mining and exploration licences in Tanzania and Australia and on a variety of corporate governance issues.

Pilbara Minerals on a joint venture agreement with Calix for the development of a mid-stream demonstration plant at the Pilgangoora Project.

Pilbara Minerals on equity raising in relation to its lithium mine in Western Australia and debt financing in relation to its existing facilities.

SK E&S on projecting financing for its share of the costs of the development of the Caldita-Barossa gas field in the Timor Sea, as part of the Caldita-Barossa joint venture.
