Representative matters

Jefferies Finance, as Administrative Agent, in connection with a $2.15 billion first lien secured financing for the acquisition of Mavis Tire Express Services by an investor group led by BayPine, in partnership with TSG Consumer Partners.

JPMorgan Chase, as Administrative Agent, in connection with a $1.496 billion first lien secured financing for the acquisition of Kofax Parent Limited by Clearlake Capital Group and TA Associates Management.

Bank of Montreal, as Administrative Agent, in connection with a $1.346 billion first lien secured term loan facility, $300 million second lien secured term loan facility, $225 million revolving credit facility and a $150 million asset-based facility for the acquisition of Bayer Environmental Science by Cinven.

UBS, as Administrative Agent, in connection with a $750 million first-lien secured term loan facility, a $300 million second-lien secured term loan facility, and a $100 million revolving credit facility, for the acquisition of Medrisk by CVC Capital Partners.
