Jonathon specialises in mergers & acquisitions and general commercial matters.

He has acted for clients in a variety of industries, including mining, property, technology, food & beverage, pharmaceutical and renewable energy.

Jonathon’s experience includes providing legal advice and drafting documentation for acquisitions, disposals, joint ventures and corporate and commercial transactions for both listed and private companies.

In addition, he has experience in advising boards of directors and shareholders of listed and unlisted companies on best practice in relation to corporate governance.

  • Ascendis Health on its proposed delisting and associated offer to shareholders (ongoing).
  • A Middle Eastern oil & gas company on a JV with Honeywell to commercialise a new proprietary “Plant.Digital” operating system, a cloud based operating system that supports operations at refineries, gas plants and other industrial facilities.
  • A South African renewable energy platform on the acquisition of various wind and solar renewable energy developments.
  • Aviapartner on the acquisition of a majority interest in NAS Colossal Aviation Services (RF) Proprietary Limited.
  • A healthcare information, services and technology company on its acquisition of the entire issued share capital of Medpages Proprietary Limited.
  • Ascendis Health on the sale of its Pharmaceuticals division.
  • A South African PE Fund on its subscription for a minority stake in a LIPO Battery manufacturer.
