Christopher Hogan

Tech Transactions Attorney

Chris advises on a wide range of technology and intellectual property matters including, licensing, outsourcing, buy and sell side transactions, fintech and payments processing.

He assists clients with drafting, reviewing and negotiating a wide range of commercial contracts related to technology, fintech, intellectual property and payments processing.

Chris works with global regulated financial institutions, payment processing and social media platforms both at A&O Shearman as well as on various secondments to firm clients. Chris draws on this secondment experience, as well as his time as corporate counsel with FIS, to provide a unique understanding and appreciation for how to effectively advise clients as outside counsel with an eye toward the wants and needs of in-house attorneys and key stakeholders.

Representative matters

Successfully completed a secondment with a large payment facilitator as a member of the product risk legal team advising on payment processing and money transmission related issues.

Assisting clients with drafting and negotiating commercial contracts, including technology outsourcing, software licenses, SaaS, market data, non-disclosure agreements, and data privacy agreements.

Advising on contract execution, regulatory issues, risk and liability exposure, and related data privacy considerations.

Successfully completed a secondment with Meta as a member of the commercial legal team.

Previous firm experience:

Successfully completed a secondment to a social media platform assisting with content related licensing in the news media space and negotiation of API data feeds.

Worked directly with client business units, subject matter experts and in-house counsel to advise on legal and commercial risks.

Assisted clients with drafting and negotiating commercial contracts, including technology outsourcing, software licenses, SaaS, market data, non-disclosure agreements, and data privacy agreements.

Advised on contract execution, regulatory issues, risk and liability exposure, and related data privacy considerations.

Prepared various form agreements and assisted clients in creating fall-back matrices for future use in contract negotiation.

Conducted M&A intellectual property due diligence on prospective targets for clients.

Successfully completed a secondment to a global financial institution assisting with sourcing and procurement of technology related services.

Trained junior attorneys on subject matter topics related to technology transactions and intellectual property. 

Drafted and negotiated complex outsourced bank services agreement with global financial institutions.

Served as point for the initiative to implement necessary data protection agreements during the establishment out of the GDPR.
